1.5X Growth Guarantee Agreement
This Agreement (“Agreement”) is entered into on [Date]

BETWEEN

Chalo Online, a business growth platform operating under applicable laws of India, having its principal place of business at:

83A, Narendra Tiwari Marg, Sudama Nagar,
Indore, Madhya Pradesh, India

(hereinafter referred to as the “Company”)

AND

[Client Business Name], having its place of business at [Client Address],

(hereinafter referred to as the “Client”).

The Company and the Client shall individually be referred to as a “Party” and collectively as the “Parties”.

1) Purpose of This Agreement

The purpose of this Agreement is to define the terms under which Chalo Online provides a 1.5X Growth Guarantee, subject to strict adherence to the processes, responsibilities, and conditions mentioned herein.

This Agreement is performance-based and depends on mutual participation.

2) Definition of “Growth”

For the purpose of this Agreement,“Growth” shall mean measurable improvement in business performance, including but not limited to:

  • Increase in customer enquiries
  • Increase in walk-ins or appointments
  • Increase in sales or revenue indicators
  • Improvement in online visibility and engagement

Growth shall be evaluated using:

  • Chalo Online’s tracking dashboard
  • Client-shared data
  • Comparative performance review

3) Growth Guarantee Statement

Chalo Online guarantees that the Client’s business will achieve up to 1.5X growth during the first billing cycle, provided the Client follows at least 80% of the recommended growth process shared by the Company.

If the guaranteed growth is not delivered, and all eligibility conditions are met, the Client shall be entitled to a refund of the first subscription fee only,in accordance with this Agreement.

4) Client Responsibilities (Mandatory)

  • To remain eligible for the growth guarantee, the Client agrees to:
  • Follow at least 80% of the growth strategy and action plan
  • Actively respond to customer enquiries
  • Participate in onboarding, review, and tracking sessions
  • Provide accurate and timely business information
  • Implement suggested offers, creatives, stock updates, and follow-ups
  • Operate the business legally and ethically
  • Maintain realistic expectations regarding growth timelines

Failure to comply will automatically void the growth guarantee.

5) Non-Refundable Charges

  • The Client acknowledges that the following charges are non-refundable under all circumstances:
  • Website setup fees
  • Domain registration charges
  • Hosting charges
  • Third-party platform costs
  • Any services or work already delivered
  • Only the first subscription cycle fee is eligible for refund, subject to conditions.

6) Refund Eligibility Conditions

A refund under this Agreement shall be applicable only if:

  • The Client follows at least 80% of the prescribed growth process
  • The business remains operational throughout the cycle
  • A written refund request is raised within 30 days from the start of the first billing cycle
  • The first billing cycle is completed
  • Tracked data confirms the guaranteed growth was not achieved

7) Refund Process

  • Refund requests must be sent to support@chaloonline.in
  • Chalo Online will review adherence and performance data
  • Approved refunds will be processed within 10 working days
  • Refunds will be issued via the same payment method used initially

8) Cases Where Guarantee Does NOT Apply

  • The growth guarantee shall not apply if:
  • The Client does not follow the growth plan
  • The Client does not respond to customers
  • The business is non-operational or seasonal
  • The Client delays approvals or information
  • The Client expects instant or “magic” results
  • External factors impact operations (market, government action, force majeure)

9) Ownership & Access

  • All platforms, systems, dashboards, strategies, frameworks, and websites remain the property of Chalo Online
  • The Client receives usage rights only during an active subscription
  • Access may be withdrawn upon cancellation or refund

10) Limitation of Liability

  • The maximum liability of Chalo Online under this Agreement shall be limited to the subscription amount paid for the first billing cycle, excluding non-refundable charges.

11) Relationship of Parties

  • Nothing in this Agreement shall create a partnership, agency, or employment relationship.

12) Governing Law & Jurisdiction

  • This Agreement shall be governed by the laws of India.
  • All disputes shall fall under the exclusive jurisdiction of courts in Indore, Madhya Pradesh.

13) Priority of Agreement

In case of conflict between this Agreement and any website policy, this signed Agreement shall take precedence.

14) Amendments

Any amendment must be made in writing and signed by both Parties.
